You are going to need frame brackets, 302 motor mounts, headers. The p/s brackets and the alternater bracket will not fit, you'll need the 302 brackets off another car. You will need a tranny kickdown rod for a V-8 as the 250 one would need alot of bending, if it could work at all.
As far as the tranny goes,the internals are different between the two tranny's you should have a tranny shop add more clutch disc's. If you drive on the highway alot and want better gas mileage stick with the gear ratio you have if you want more acceleration go with 3.50, and stick with your 8inch rear. You shouldn't need spacers.
You might have to go with a bigger radiator but try it without it first and see how hot she gets.
